End User License Agreement

EULA for Orchestra HCM Software

Introduction

This End User License Agreement ("Agreement") is a legal agreement between HRSP Software and Consulting Services Trading Limited Company (Tax ID: 4640196737, Address: Dr. Neşet Usman Sok. No:3/2 Kadıköy/İstanbul/Turkey) ("Company", "we", "us") and the end user ("You", "User") of the Orchestra HCM software ("Software").

1. Grant of License

Subject to your compliance with the terms of this Agreement, the Company grants you the following rights:

The right to use the Software for personal or commercial purposes

The right to install one copy of the Software on your device

The right to use the Software within the license terms

2. Restrictions

Under this license, the following actions are prohibited:

Copying, reproducing, or distributing the Software

Reverse engineering the Software or attempting to extract source code

Modifying, adapting, or creating derivative works of the Software

Reselling, renting, or sublicensing the Software

Using the Software for illegal purposes

Attempting to circumvent security features of the Software

3. Intellectual Property Rights

The Software and all its components, content, features, and functionality (including but not limited to code, design, text, graphics, images, audio, video, databases, etc.) are owned by the Company and protected by copyright, trademark, patent, and other intellectual property rights.

4. Privacy and Data Protection

The processing of your personal data while using the Software is subject to our Privacy Policy. Please review our Privacy Policy for detailed information.

Your personal data is processed in compliance with GDPR and local data protection laws

Your data is retained only for the duration necessary to provide services

Transparency is provided regarding data sharing with third parties

5. Service Level and Support

The Company does not guarantee that the Software will operate uninterrupted or error-free. However:

Technical support services are provided

Regular updates and improvements are made

Security vulnerabilities are patched immediately upon discovery

Planned maintenance work is announced in advance

6. Payment and Billing

For paid services:

Payment terms are determined according to your selected package

Auto-renewal options are available

Cancellation and refund terms are separately specified

Billing information must be accurate and current

7. Limitation of Liability

The Company shall not be liable for any direct, indirect, special, incidental, or consequential damages arising from the use of the Software. This limitation includes:

Data loss or data corruption

Business interruption or loss of revenue

Disruptions in third-party services

System security breaches

8. Term and Termination

This Agreement terminates under the following circumstances:

Deletion of the Software by you

Termination by the Company due to breach of Agreement terms

Non-payment for paid services

Mutual agreement to terminate

9. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Republic of Turkey. For dispute resolution:

Istanbul Courts and Enforcement Offices have jurisdiction

Amicable resolution is primarily sought

Consumer Arbitration Committees are competent for consumer law disputes

11. Acceptance and Approval

By downloading, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement. If you do not agree to this Agreement, you should not use the Software and should remove it from your device.

Important Notice

This Agreement is legally binding. Continued use of the Software constitutes acceptance of these terms. If you have questions, please contact us before using the Software.
